Terms of Use

These Terms of Use (the "Terms") are a binding legal agreement between you and To Best Universities Inc, a corporation organized under the laws of the State of Delaware with its principal office at 99 Wall St, Suite 3899, New York, NY 10005 ("To Best Universities", "we", "us", or "our"). They govern your access to and use of our websites, mobile and web applications, content, and the tutoring, test-preparation, and educational-consulting services we make available (collectively, the "Services"), whether you are a prospective or current customer, student, or parent; an independent tutor, instructor, or consultant who offers services through our platform (a "Professional"); a prospective employee; or a general visitor. By accessing or using the Services, creating an account, or clicking to accept, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Services.

PLEASE READ SECTION 4 CAREFULLY. IT REQUIRES YOU AND TO BEST UNIVERSITIES TO RESOLVE DISPUTES THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, WAIVES YOUR RIGHT TO A JURY TRIAL, AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN THIRTY (30) DAYS AS DESCRIBED IN THAT SECTION.

1. Acceptance and License to Use Materials

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and the materials made available on them for your own personal, non-commercial purposes. All content, software, text, graphics, logos, trademarks, lesson materials, and other materials on the Services are owned by or licensed to To Best Universities and are protected by United States and international intellectual-property laws.

You may not reproduce, distribute, modify, translate, create derivative works from, publicly display, sell, resell, frame, or commercially exploit any part of the Services or their materials without our prior written consent. You may not remove or alter any copyright, trademark, or other proprietary notice. We reserve every right not expressly granted to you, and we may suspend, restrict, or revoke your access for any failure to comply with these Terms.

2. Modifications to the Agreement

We may revise these Terms at any time by posting the revised version on this page with an updated effective date, and, where we consider the change material, by providing additional notice such as an email or an on-site message. Your continued use of the Services after a revision becomes effective constitutes your acceptance of the revised Terms.

Changes to Section 3 (Consent to Communications) and Section 4 (Dispute Resolution and Binding Arbitration) will, where required by law, apply only on a going-forward basis. It is your responsibility to review these Terms periodically so that you are aware of any changes.

3. Consent to Communications

(a) Consent to be contacted

When you provide your telephone number or email address, you consent to receive communications from us and the service providers acting on our behalf, including by email, text message, telephone call, and automated or pre-recorded message, for service, transactional, account, and marketing purposes. This may include messages sent using an automatic telephone dialing system, and your consent is not a condition of purchasing any Service.

(b) Electronic records and signatures

You agree that we may provide notices, disclosures, agreements, and other records to you electronically, and that your electronic acceptance, including clicking a button or checking a box, has the same legal effect as a handwritten signature. You may request a paper copy of any electronic record by contacting us at legal@tobestuniversities.com.

(c) Rates, frequency, and opting out

Message and data rates may apply, and message frequency varies. You may opt out of marketing text messages by replying STOP, or of marketing email by using the unsubscribe link, or by contacting us at legal@tobestuniversities.com. After you opt out of marketing messages, we may still send you service and transactional messages relating to your account, your sessions, and your transactions.

4. Dispute Resolution and Binding Arbitration

This section affects your legal rights and governs how disputes between you and To Best Universities are resolved. Please read it carefully.

(a) Agreement to arbitrate

You and To Best Universities agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services, whether based in contract, tort, statute, or any other legal theory, will be resolved by final and binding individual arbitration, rather than in court, except as expressly provided in subsection (f).

(b) Jury-trial and class-action waiver

You and To Best Universities each waive the right to a trial by jury and the right to participate in a class action, class-wide arbitration, or any other representative proceeding. The arbitrator may award relief only on an individual basis and may not consolidate or join the claims of more than one person.

(c) Informal resolution first

Before starting an arbitration, the party raising a dispute must send the other a written notice describing the claim and the relief sought, to legal@tobestuniversities.com or to our principal office. You and To Best Universities agree to attempt in good faith to resolve the dispute informally for at least thirty (30) days after that notice before either party may begin arbitration.

(d) Arbitration rules and venue

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules then in effect, as applicable, before a single arbitrator, in the City of Wilmington, State of Delaware, or by telephone or video where the rules permit. The arbitrator's award is final and binding, and judgment on it may be entered in any court of competent jurisdiction.

(e) Fees

Payment of filing, administration, and arbitrator fees is governed by the AAA rules, except that we will pay or reimburse those fees to the extent required by the rules or by applicable law for a claim to proceed. Each party otherwise bears its own attorneys' fees and costs, unless a statute or these Terms provide otherwise.

(f) Exceptions

Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information, including to enforce Sections 1 and 10. Seeking that relief does not waive the agreement to arbitrate any other claim.

(g) Thirty-day right to opt out

You may opt out of this arbitration agreement within thirty (30) days after you first accept these Terms by sending written notice of your decision, including your name and account email, to legal@tobestuniversities.com. If you opt out, neither you nor To Best Universities will be bound by the arbitration and class-waiver provisions of this Section, and the courts identified in Section 18 will resolve disputes.

(h) Severability and survival

If any part of this Section other than the class-action waiver is found unenforceable, that part will be severed and the remainder will continue to apply. If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court. This Section survives termination of your relationship with To Best Universities.

5. Your Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference and explains how we collect, use, share, and protect your personal information. By using the Services you consent to the data practices described there.

6. User Content, Reviews, and Profile Pictures

The Services may let you submit content such as reviews, ratings, testimonials, messages, questions, photographs including a profile picture, and application materials ("User Content"). Your User Content is private by default. We do not display your name, your profile picture, any likeness we create from it, or your written reviews in the public-facing portions of our websites or apps unless you have given us your specific, separate opt-in consent as described below. Neither submitting User Content nor agreeing to these Terms is by itself consent to public display, and using the Services never requires you to allow your picture, likeness, or reviews to be shown publicly.

If you choose to take part in our public showcase and promotion of the Services, you may give a separate, opt-in consent through the control labeled "Show my profile picture, likeness, and written reviews on the public website and apps" in your profile settings, which is turned off by default. When, and only when, that consent is turned on, you grant To Best Universities a limited, revocable, royalty-free permission, for the sole purpose of operating and promoting the Services, to display your written reviews and ratings, your first name or chosen display name, and your profile picture or a likeness we create from it, including an AI-enhanced or retouched version of your photograph, an illustrated, stylized, or manga-style rendering, or a stock-photo stand-in used in place of your actual photograph. This permission is purpose-limited, is not a perpetual or irrevocable license, and never includes selling your image or content to third parties for their own advertising.

If the student is under the age of eighteen, we will not display the student's profile picture, likeness, or written reviews publicly unless we have obtained both the verifiable consent of the student's parent or legal guardian and the agreement of the student, and either the parent or guardian or the student may withdraw that consent at any time. We treat the personal information of children with heightened care and never use a child's picture, likeness, or reviews for public display or advertising without this combined parent-and-student consent. We determine whether a student is under eighteen from the date of birth provided when the student's account is created.

You may withdraw your consent at any time by turning the setting off, and a parent or guardian may withdraw consent on a student's behalf. When consent is withdrawn we stop displaying your picture, likeness, and reviews in the public-facing portions of the Services and delete the public copies within our control; copies that other people or search engines may already have saved or cached are outside our control and cannot always be recovered. We may continue to use your User Content internally to operate, secure, and improve the Services after you opt out of public display.

You are solely responsible for the accuracy and lawfulness of your User Content, and you represent that you hold the rights needed to grant the permissions above, including the consent of any person appearing in a photograph you upload. You should not submit confidential information or creative work you wish to keep private. We may remove or decline to display any User Content at our discretion and without liability. You agree to indemnify, defend, and hold harmless To Best Universities and the related parties from any third-party claim, liability, cost, or expense, including reasonable attorneys' fees, arising from your User Content, your violation of any law or third-party right, or your breach of these Terms.

7. User Representations and Account Security

You represent and warrant that you are at least eighteen (18) years old or that a parent or legal guardian has consented to your use of the Services, that all information you provide is truthful and accurate, that any payment method you use is authorized, and that your use of the Services will not violate any law or any agreement you have with a third party. If you register or accept these Terms on behalf of a minor, you represent that you are the parent or legal guardian and accept these Terms on the minor's behalf.

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to notify us promptly at legal@tobestuniversities.com of any unauthorized use of your account or any other breach of security.

8. Acceptable Use and Prohibited Activities

You agree not to use the Services to post or transmit unlawful, harassing, defamatory, abusive, hateful, or infringing content; to transmit viruses or malicious code; to impersonate any person or misrepresent your affiliation; to collect or harvest information about other users; to scrape, crawl, or index the Services by automated means without our permission; to gather competitive intelligence; or to reverse engineer, disrupt, overload, or interfere with the security or operation of the Services.

You also agree not to circumvent any access controls or usage limits, and not to use the Services in any manner that violates these Terms or any applicable law. We may investigate and take appropriate action, including removing content, suspending or terminating accounts, and reporting conduct to law enforcement.

9. Academic Integrity and Honor Code

Our Services support learning, understanding, and skill development. They do not include completing graded coursework, take-home or proctored examinations, admissions essays, applications, or other work that a student is required to complete on their own, on a student's behalf or in a way that misrepresents the student's own work.

You agree not to use the Services to engage in or facilitate plagiarism, exam misconduct, or any other breach of the academic-integrity rules of a school, college, university, or examination board. Please review our Honor Code, which forms part of these Terms; violations may result in suspension or termination of your access.

10. No Solicitation or Direct Engagement of Tutors and Consultants (Non-Circumvention)

The relationship between you and any tutor, consultant, instructor, or other Professional is established and managed exclusively through To Best Universities. You agree that, during your engagement with the Services and for a period of twenty-four (24) months after your last interaction with a given Professional, you will not, directly or indirectly, whether on your own behalf or on behalf of any other person or entity, solicit, recruit, hire, retain, engage, or pay any Professional whom you were introduced to or matched with through the Services, outside of the To Best Universities platform.

This non-circumvention obligation protects the substantial time and expense we invest in recruiting, vetting, training, and matching our Professionals, and it prevents the circumvention of the platform fees that fund those services. In the event of a breach, To Best Universities is entitled to recover the fees it would have earned, liquidated damages, and reasonable attorneys' fees, and to obtain immediate injunctive and other equitable relief without the need to post a bond.

11. Fees, Payment, Taxes, and Refunds

Certain Services require payment of fees, which are described at the point of purchase. You authorize us and our payment processors to charge your selected payment method for all fees incurred, including applicable taxes, and you represent that you are authorized to use that payment method. Unless stated otherwise, fees are quoted and charged in United States dollars.

Except as expressly required by applicable law or as stated at the time of purchase, all fees are non-refundable, and you may not cancel a purchased Service for a refund. We may change our fees on a going-forward basis and may refuse or cancel a transaction that we reasonably believe to be fraudulent, unauthorized, or in violation of these Terms.

12. Third-Party Links and Services

The Services may contain links to third-party websites, applications, and resources, and may integrate third-party services such as payment processors and analytics providers. We provide these as a convenience and do not control them. We are not responsible for the content, products, practices, or availability of any third party, and your use of them is subject to their own terms and policies.

13. Release and Indemnification

You release To Best Universities and its officers, directors, employees, and agents from all claims, demands, and damages of every kind arising out of or related to your use of the Services or any dispute with another user or with a Professional. Your sole remedy if you are dissatisfied with the Services is to stop using them.

You agree to indemnify, defend, and hold harmless To Best Universities and those parties from any third-party claims, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of your use of the Services, your User Content, your violation of any law or third-party right, or your breach of these Terms.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that any content is accurate or complete. We make no guarantee of any particular academic result, grade, test score, admission, scholarship, or other outcome, which depends on many factors outside our control.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TO BEST UNIVERSITIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of the amount of fees you paid to us in the twelve (12) months preceding the event giving rise to the claim or one hundred United States dollars (USD 100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

16. Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent, and any attempt to do so is void. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

17. Term and Termination

These Terms apply while you access or use the Services. We may suspend or terminate your access at any time, with or without notice, for any reason, including a violation of these Terms or a risk to the Services or other users. You may stop using the Services at any time.

Upon termination, the licenses granted to you end, but provisions that by their nature should survive, including Sections 4, 9, 10, 13, 14, 15, and 18, will continue to apply. Termination does not entitle you to a refund except as required by law.

18. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to the arbitration provision in Section 4, the state and federal courts located in Wilmington, Delaware have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.

19. Copyright and DMCA Notices

We respect intellectual-property rights and respond to clear notices of alleged copyright infringement. If you believe content on the Services infringes your copyright, send a notice to our designated agent at legal@tobestuniversities.com that includes your signature, identification of the copyrighted work, identification of the material claimed to be infringing and its location, your contact information, a statement of good-faith belief that the use is not authorized, and a statement under penalty of perjury that your notice is accurate and that you are authorized to act.

We may remove or disable access to material we believe is infringing and will, in appropriate circumstances, terminate the accounts of repeat infringers. If you believe your material was removed in error, you may submit a counter-notice to the same address.

20. Accessibility

We are committed to making the Services reasonably accessible to people with disabilities and continue to work toward that goal. If you encounter a barrier or need an accommodation to use the Services, please contact us at legal@tobestuniversities.com so that we can assist you and improve.

21. General

Neither party is liable for any failure or delay caused by events beyond its reasonable control, such as acts of God, natural disasters, outages, or government action. If any provision of these Terms is held unenforceable, that provision will be limited or severed and the remaining provisions will remain in full effect. Our failure to enforce a provision is not a waiver of our right to do so later.

These Terms, together with the Privacy Policy and the Honor Code, are the entire agreement between you and To Best Universities regarding the Services and supersede any prior agreements on that subject. Section headings are for convenience only. We may give notice by email, by posting on the Services, or by mail.
